(the "Company") today announced initiation of a private offering of $540 million aggregate principal amount of senior notes due 2029 (the "Notes").  The Company intends to use the proceeds from the offering, together with cash on hand, to finance its concurrent cash tender offer for and redemption of $580 million aggregate principal amount of its existing 7.250% senior secured second lien notes due 2025 (the "Tender Offer and Redemption") and to pay fees and expenses related to the offering, the Tender Offer and Redemption and related transactions and to repay other debt.

The Notes will be offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to persons outside the United States in accordance with Regulation S under the Securities Act.  The Notes and the related guarantees will not be registered under the Securities Act or the securities laws of any state or other jurisdiction and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
